You'll see a few different types of charges from FormationHub. This article explains what each one means.

Understanding your FormationHub bill

You'll see a few different types of charges from FormationHub — your order is usually made up of a few separate parts, not one flat fee. You'll also get an automatic email shortly after checkout that itemizes every charge on your order; if you don't see it, check your spam folder. This article explains what each charge means and how refunds work.

One-time charges (formation, EIN, BOI, etc.)

These appear once at the time of purchase:

  • LLC formation service fee: our flat fee for handling the state filing on your behalf — $149 for standard processing (typically submitted within 1-4 business days), or $199 for expedited processing (submitted the same business day)

  • State filing fee: the actual fee charged by the Secretary of State — passed through at cost (we don't mark it up); the amount varies by state

  • EIN service fee: $79 optional add-on to handle Form SS-4 with the IRS

  • BOI report fee: $99 optional add-on to file your Beneficial Ownership Information with FinCEN

  • Operating Agreement fee: $40 optional add-on for a custom OA based on your member structure

  • Certified copy: $50 + the state's copy fee, optional add-on if you need an official state-stamped copy of your Articles

  • S-corp election: $99 optional add-on if you'd like us to file IRS Form 2553 to elect S-corp tax treatment

Most one-time charges are billed together at checkout. If you see a second charge appear a few days later, it's typically because an earlier payment attempt was retried after resolving an issue with your bank, or because you added an add-on later from your member portal — any add-on can be added after checkout at the same price, so you lose nothing by skipping one now. You'll see these charges on your card statement with the descriptor: FORMATIONHUB.COM.

Annual subscription (Registered Agent)

The Registered Agent service is our only subscription product, billed at $192/year (about $16/month, prepaid to cover the next 12 months) — it's a once-a-year charge, not a recurring monthly subscription. Every state requires an LLC to name a Registered Agent to receive legal and government mail on the company's behalf, so this is selected by default at checkout to keep your home address off public state records; you're welcome to act as your own Registered Agent instead if you prefer.

  • Renewal reminder emails go out during the three weeks before your renewal date — 14 days before, and again 3 days before the charge

  • Charge: on the renewal date

  • Failed-charge retry: we make several attempts to charge your card over the following weeks before pausing the service — see “What happens if my card is declined?” below for the full timeline

When the state mails a document to your Registered Agent, we scan it, upload it to your member portal, and email you.

You can cancel anytime before your renewal date and you won't be charged at all. Once the service is active (after your LLC has been filed) or after a renewal has already been charged, canceling gets you a prorated refund for the unused portion of the year, minus a $49 cancellation fee — and since you're removing your Registered Agent, you'll need to file the state's Change of Registered Agent yourself, at your own cost. What's NOT a FormationHub charge

If you see a charge on your statement that doesn't match what you bought, it might be:

  • State annual report fee: paid separately to the state — not something FormationHub bills for.

  • Operating bank account fees: charged by your bank (Mercury, Chase, etc.), nothing to do with us.

  • Payroll service fees: if you signed up for Gusto/ADP/etc., those are separate billers.

If you see a FormationHub charge you don't recognize: 1. Check your member portal under Billing — every charge has an itemized receipt. 2. If it's still unclear, open a chat or email [email protected].

Sales tax

We charge sales tax in states that require it on taxable services. Our tax-nexus footprint can shift over time as our business grows, so which states apply may change; when tax applies, it appears as a separate line item at checkout.

The state filing fee itself is generally NOT taxable since it's a government fee, but our service fee IS taxable.

Refunds

Refund rules depend on where your order is in the process — specifically, whether your LLC has already been submitted to the state — rather than a single fixed window from your purchase date.

Before your LLC is submitted to the state

If your order hasn't been submitted yet, you can cancel for a 100% refund of everything you paid — service fee, state filing fee, and any add-ons. Expedited orders are submitted the same business day; standard orders are typically submitted within 1-4 business days, sometimes as soon as 1 business day — we don't hold orders, so this pre-submission window is usually brief.

After your LLC has been submitted

Once we've submitted your filing, the state filing fee is no longer refundable (we've already paid it to the state), and the service fee is considered earned, since the work of preparing and filing has been done. The one exception: if you made the purchase by accident and let us know within 24 hours of the original charge, we'll refund 50% of the service fee — no need to explain further or escalate.

If your filing is rejected by the state

In most cases, we'll simply fix the issue and re-file at no extra charge to you — you don't need to do anything. If the rejection is something only you can fix (for example, the state rejected your business name and you need to choose a new one) and you decide not to move forward, we'll refund the service fee, any unused add-ons, and whatever the state itself refunds back to us. If your order was never actually submitted to the state at all, you'll get a full 100% refund.

Optional add-ons (EIN, BOI, Operating Agreement, Certified Copy)

Any add-on you haven't used yet is refundable a la carte within 30 days of purchase: EIN up until we've submitted your SS-4 to the IRS, the Operating Agreement up until it's been delivered to you, the Certified Copy up until we've placed the order for it, and the BOI Report up until it's been filed.

How refund timing works

We make a decision on refund requests within 3 business days, and approved refunds typically arrive back on your card or account within 5-10 business days. You'll get an automatic confirmation email as soon as a refund is approved. Refund requests must be made within 6 months of the original charge.

If you're not happy with our service, please open a chat first — we'd rather make it right than process a refund.

How to update your payment method

  1. Click Billing in the left sidebar

  2. Click Update payment method

  3. Enter your new card details

Your new card will be used for the next renewal cycle. Pending charges already authorized on the old card will go through on the old card.

What happens if my card is declined?

For one-time charges: the order doesn't process. You'll see an error and can retry with a different card.

For subscription renewals (RA service): 1. Day 0: declined. We email you immediately. 2. Day 1, 3, 7: we retry the original card. 3. Day 7: if still failing, we email asking you to update your payment method. 4. Day 14: if no resolution, we send a final notice and pause the service (mail still arrives but isn't forwarded; state filings handled but with a warning). 5. Day 30: if payment still hasn't been resolved, we can no longer continue serving as your Registered Agent, which can affect your LLC's good standing with the state — you'll need to arrange a new Registered Agent (see Switching Registered Agents for how that works).

You can always recover by updating your payment method, even on day 29 — we resume service immediately.

Disputed charges and chargebacks

If you don't recognize a charge, please contact us BEFORE disputing it with your bank — we'll review it and make a decision within 3 business days, which is almost always faster than a bank dispute (typically 30-60 days) and won't risk your account being flagged for fraud review. Chargebacks are also expensive for us (a $15+ fee from our processor, plus the disputed amount, regardless of who wins), so we'd rather resolve it directly with you.

Common questions

"Can I pay with PayPal or crypto?"

Not currently. We accept all major credit/debit cards and Apple Pay.

"Can I get an invoice for my taxes?"

Yes — every charge is itemized in your portal under Billing, and you'll also have the automatic confirmation email from checkout that itemizes each charge for your records.

"Do you offer payment plans?"

Not for one-time charges. The Registered Agent subscription is effectively a payment plan in itself ($192/year vs. multi-year prepay).

"Can I prepay for multiple years of RA service?"

Not yet — Registered Agent service renews annually at $192/year; there's no multi-year prepay option today.

"Is the Registered Agent charge a monthly subscription I got signed up for without realizing it?"

No — it's a single charge once a year ($192), not a recurring monthly subscription. It's selected by default at checkout because every state requires a Registered Agent, but you can opt out and serve as your own, and you can cancel anytime before your next renewal date so it never charges again.

"Why did I get a second charge after my order?"

A second charge appearing close together usually means an earlier payment attempt didn't go through and was retried successfully once resolved with your bank, or that you added an extra product from your member portal after your original order. If you still don't recognize a charge, contact support with the business name or email used at checkout and we'll walk through the exact line items on your order.
