Refund policy
We want you to get value from what you paid for. If something's not right, we'd rather make it right than make you fight for a refund.
TL;DR
Service fee (the part we charge): 100% refundable within 30 days of purchase if we haven't started work. Prorated if work is in progress.
State filing fees: not refundable once paid to the state (we can't get it back from them).
Registered Agent subscription: prorated refund based on months remaining when you cancel.
No "restocking fees" or other gotchas.
The detailed version
LLC formation service fee
100% refundable if: - You request the refund within 30 days of purchase - We have NOT yet submitted your Articles of Organization to the state
50% refundable if: - We've started preparing the filing but haven't submitted to the state yet - This usually means we've already done the name check, drafted the Articles, and reached out for any missing info
Not refundable if: - The state has accepted your LLC filing (the state has your money at that point, and so has our team done the work)
State filing fee
The state of [your state] charges $XX to file your Articles of Organization. We pass that through at cost — no markup.
Once we've paid it to the state on your behalf, the state filing fee is not refundable. This isn't a FormationHub policy choice — it's how state filings work. The state doesn't refund the fee if the LLC is later dissolved.
Exception: if YOUR state rejects the filing (e.g., name conflict), most states refund the fee to whoever paid it. We pass that refund through to you as soon as we receive it (usually 2-4 weeks).
EIN service fee
100% refundable if: - We have not yet submitted Form SS-4 to the IRS
Not refundable if: - The IRS has issued the EIN
Registered Agent subscription
Annual subscription, billed once per year. To cancel:
Within 30 days of signup or renewal: 100% refund.
Within 30 days to 6 months: prorated refund based on months remaining.
After 6 months: no refund of the current year, but no further billing either.
The Registered Agent service requires a state filing to switch — see Switching Registered Agents for the right process. Don't cancel before the state change is filed, or your LLC ends up with an abandoned RA which can lead to administrative dissolution.
BOI report fee
100% refundable if: - We have not yet submitted your BOI to FinCEN
Not refundable if: - We've submitted to FinCEN (it's done)
Operating Agreement fee
100% refundable if: - We have not yet delivered the OA draft
Partial refund if: - We've delivered but you haven't signed and want to walk away — 50% refund
Annual report filing service
100% refundable if: - We have not yet filed the annual report with the state - Even if the deadline is approaching, you can opt out and handle it yourself
Not refundable if: - We've already filed (it's done)
How to request a refund
Open a chat in your member portal (fastest, usually resolved within 1 business hour during business hours).
Email [email protected] — include your order number and the reason.
Don't file a chargeback first — open communication with us first. Chargebacks cost us $15 + the disputed amount regardless of who wins, and the dispute process can take 30-60 days. We'd rather resolve directly within 1 hour.
We try to honor refund requests the same day they're made. Worst case: 3 business days for the refund to appear on your statement.
What happens after a refund
Refunds typically appear on your statement in 5-10 business days.
Your access to the FormationHub portal continues (you can still see past records).
If you refunded the Registered Agent subscription, we file the state change to a no-charge "self-RA" placeholder for you (you'd then appoint a new RA or designate yourself).
We don't delete your customer record unless you explicitly request account deletion under GDPR/CCPA.
Disputed charges
If you see a charge you don't recognize, please open a chat or email [email protected] BEFORE calling your bank. We can almost always resolve it in 1 business hour:
"Oh that's the $199 RA renewal you set up last June" → easy to verify
"That charge isn't ours" → we'll help you trace it
"I was double-charged" → instant refund of the duplicate
A chargeback through your bank triggers a 30-60 day dispute process and can flag your account for fraud review on both sides. Talk to us first.
We will never...
Charge you for something you didn't explicitly order
Auto-enroll you in services after a free trial without consent
Continue billing after you've cancelled (if it happens by mistake, refund + apology)
Charge restocking fees, processing fees, or other surprise add-ons during the refund process
If any of these happen, that's our mistake and we'll fix it immediately. Email [email protected] directly if you've had a bad experience.
Edge cases
"I formed the LLC but never opened a bank account — can I get a full refund?"
The LLC exists with the state as a legal entity once we file. The service fee is non-refundable at that point (we did the work, state took its money). We can help you dissolve the LLC if you no longer want it — separate $XX dissolution service fee + state's dissolution fee.
"Your service was slow and now my LLC was approved too late for [my deadline]"
If we missed a delivery time we explicitly promised, we'll refund the service fee. State approval times are NOT something we control — we promise to file within 1 business day, but the state takes 5-15 business days regardless of us. We can usually expedite for an extra fee if you tell us about the deadline upfront.
"I got a BAD experience and want a full refund of everything"
Email [email protected] directly. We honor good-faith refund requests even in edge cases because we'd rather have happy ex-customers than angry ones.
