Switching TO FormationHub (from another RA)

Common reasons to switch to us: - Your current RA raised their price - Your current RA missed mail or had service issues - You want better mail forwarding (we scan within 1 business day; some competitors take a week) - You're consolidating multiple businesses under one RA

The process (3-7 business days)

  1. Sign up for the RA service in your customer portal (or at LLC formation if you're a new customer).

  2. We prepare the state-change form specific to your state (each state has its own form: Statement of Change of Registered Agent, Change of Registered Office, etc.).

  3. You review and authorize the form so we can file it on your behalf.

  4. We file with the state. State fees vary: $20 (Colorado) to $50+ (most states), some states are free.

  5. State approves in 5-7 business days for most states. A few (Texas, California) take longer.

  6. We start receiving mail on the approval date. Anything still arriving at your old RA's address after that should be forwarded to us — check with your previous provider on how long they'll keep doing that.

Costs

  • Our annual RA fee: $192/year (billed annually on the anniversary date)

  • State change-of-RA fee: $20-50 (varies, passed through at cost)

  • One-time setup fee: $0 (we don't charge to onboard)

What to tell your old RA

Once we're approved by the state, give your old RA written notice:

Subject: Registered Agent service cancellation — [Your LLC Name]To whom it may concern,Please cancel my Registered Agent service for [Your LLC Name], EIN [XX-XXXXXXX].The Secretary of State of [State] approved a change of Registered Agenton [Date]. The new Registered Agent of record is FormationHub.Please forward any mail received at the old address to:  [FormationHub's address in your state — we provide this in your portal]Thank you,[Your Name]

If they object or try to bill you for the next year, request a refund — they have no service to provide once the state change is filed.

Switching AWAY from FormationHub

We make this easy. Reasons people leave (with no judgment from us):

  • You want to act as your own RA again (you've decided privacy isn't a concern)

  • You're switching to a cheaper provider (we may not be the cheapest)

  • You're dissolving the business

  • You want everything in one place with a different all-in-one provider

The process (3-7 business days)

When you leave, the state's Change of Registered Agent form is filed by whoever is taking over as your agent — either you (if you're becoming your own RA) or your new RA provider. We don't file this on our way out; it isn't ours to file.

  1. You (or your new RA) file the state's Change of Registered Agent form appointing the new agent.

  2. The state approves the change — timing varies by state, similar to the process above.

  3. Once it's approved, open a chat or email [email protected] and we'll cancel your RA subscription.

  4. We'll continue forwarding any mail that arrives at our address for a reasonable transition period while you get everything redirected.

Refund policy for cancelling RA service

  • Cancel before your renewal date: no charge — nothing to refund.

  • Cancel after your renewal date (mid-term): your remaining service period is prorated, minus a $49 cancellation fee.

  • If we caused the problem (like missed mail on our end), open a chat — we'll make it right.

What if I just stop paying?

Don't do this. If you stop paying without filing a state change first, your LLC is left with an agent of record whose service is no longer active. That's a bad spot to be in:

  1. Legal mail can pile up with no active subscription to keep it moving.

  2. We'll reach out to try to get it resolved.

  3. If it stays unresolved, we may eventually have to resign as your Registered Agent by filing a notice with the state. The state will mark your LLC's status as "RA Resigned" — not good for compliance.

  4. If you don't appoint a new RA within the state's grace period, the state can administratively dissolve your LLC.

Always file the state change before cancelling.

Special situations

Multiple businesses with the same RA

If you have 3 LLCs all using us as RA, each one needs its own state-change form. Filing fees apply per LLC.

Multi-state businesses

If your business is registered in multiple states (e.g., DE-formed, CA-foreign-qualified), you'll need a Registered Agent in EACH state. We can be your RA in multiple states; each state has its own annual fee.

Dissolving the LLC

You don't strictly need to change RA before dissolving — the dissolution filing takes care of the RA appointment automatically. But it's worth notifying us in advance so we stop forwarding mail and can close out your RA service under the cancellation policy above.

Common mistakes

  • ❌ Cancelling RA before filing the state change → administrative dissolution risk

  • ❌ Not telling us when you've changed RA elsewhere → we keep billing

  • ❌ Using a friend or family member's home address as your new RA without their explicit consent → awkward when a process server shows up
