One-time charges (formation, EIN, BOI, etc.)

These appear once at the time of purchase:

  • LLC formation service fee: our flat fee for handling the state filing on your behalf

  • State filing fee: the actual fee charged by the Secretary of State — passed through at cost (we don't mark it up)

  • EIN service fee: optional add-on to handle Form SS-4 with the IRS

  • BOI report fee: optional add-on to file your Beneficial Ownership Information with FinCEN

  • Operating Agreement fee: optional add-on for a custom OA based on your member structure

  • Certified copy: optional add-on if you need an official state-stamped copy of your Articles

All one-time charges are billed at checkout. You'll see them as a single charge on your card statement with the descriptor: FORMATIONHUB.COM.

Annual subscriptions (Registered Agent)

The Registered Agent service is our only subscription product. It auto-renews on the anniversary of your purchase.

  • Renewal email: 14 days before the charge

  • Reminder email: 3 days before the charge

  • Charge: on the renewal date

  • Failed-charge retry: 5 business days, then suspension

What's NOT a FormationHub charge

If you see a charge on your statement that doesn't match what you bought, it might be:

  • State annual report fee: paid separately to the state (not through us) unless you bought our compliance service.

  • Operating bank account fees: charged by your bank (Mercury, Chase, etc.), nothing to do with us.

  • Payroll service fees: if you signed up for Gusto/ADP/etc., those are separate billers.

If you see a FormationHub charge you don't recognize: 1. Check your member portal under Billing → History — every charge has an itemized receipt. 2. If it's still unclear, open a chat or email [email protected].

Sales tax

We charge sales tax in states that require it (per our tax-nexus footprint, currently CA, WA, NY, TX, FL, IL, NJ, AZ, NC, MI as of 2026 — list grows over time). Tax appears as a separate line item at checkout.

The state filing fee itself is generally NOT taxable since it's a government fee, but our service fee IS taxable.

Refunds

We honor a 30-day refund window from the date of purchase, with one caveat: once we've paid your state's filing fee to the state, that portion is non-refundable because we can't get it back from the state.

Refundable

  • Service fee: 100% refundable if we haven't started work

  • Service fee: 50% refundable if we've started but not yet filed

  • Registered Agent subscription: prorated based on months remaining

  • BOI / EIN / OA add-ons: 100% refundable if we haven't filed yet

Non-refundable

  • State filing fees once paid to the state

  • IRS service fees once SS-4 is submitted

If you're not happy with our service, please open a chat first — we'd rather make it right than process a refund.

How to update your payment method

  1. Click Billing in the left sidebar

  2. Click Update payment method

  3. Enter your new card details

Your new card will be used for the next renewal cycle. Pending charges already authorized on the old card will go through on the old card.

What happens if my card is declined?

For one-time charges: the order doesn't process. You'll see an error and can retry with a different card.

For subscription renewals (RA service): 1. Day 0: declined. We email you immediately. 2. Day 1, 3, 7: we retry the original card. 3. Day 7: if still failing, we email asking you to update your payment method. 4. Day 14: if no resolution, we send a final notice and pause the service (mail still arrives but isn't forwarded; state filings handled but with a warning). 5. Day 30: if still no resolution, we resign as Registered Agent and notify the state (see Switching Registered Agents for what this means).

You can always recover by updating your payment method, even on day 29 — we resume service immediately.

Disputed charges and chargebacks

If you don't recognize a charge, please open a chat with us BEFORE calling your bank to dispute it. Chargebacks are expensive for us (a $15+ fee from our processor + the disputed amount, regardless of who wins) and we'd rather resolve directly.

We respond to chat inquiries within 1 business hour during business hours. A chargeback often takes 30-60 days to resolve and may cause your account to be flagged for fraud review.

Common questions

"Can I pay with PayPal or crypto?"

Not currently. We accept all major credit/debit cards. PayPal is on the roadmap.

"Can I get an invoice for my taxes?"

Yes — every charge has a downloadable PDF invoice in your portal under Billing → History.

"Do you offer payment plans?"

Not for one-time charges. The Registered Agent subscription is effectively a payment plan in itself ($199/year vs. multi-year prepay).

"Can I prepay for multiple years of RA service?"

Not yet. We're working on a 3-year-prepay-and-save discount; expected ~Q4 2026.
