How to switch your Registered Agent (in or out)
This article covers both directions — switching to FormationHub from another provider, and switching away from FormationHub if you decide to leave.
Switching TO FormationHub (from another RA)
Common reasons to switch to us: - Your current RA raised their price - Your current RA missed mail or had service issues - You want better mail forwarding (we scan within 1 business day; some competitors take a week) - You're consolidating multiple businesses under one RA
The process (3-7 business days)
Sign up for the RA service in your customer portal (or at LLC formation if you're a new customer).
We prepare the state-change form specific to your state (each state has its own form: Statement of Change of Registered Agent, Change of Registered Office, etc.).
You review and authorize the form (we e-sign on your behalf if you authorize us via Power of Attorney during signup).
We file with the state. State fees vary: $20 (Colorado) to $50+ (most states), some states are free.
State approves in 5-7 business days for most states. A few (Texas, California) take longer.
We start receiving mail on the approval date. Anything still arriving at your old RA's address after that should be forwarded to us — most RAs do this for 30-60 days as a courtesy.
Costs
Our annual RA fee: $199/year (billed annually on the anniversary date)
State change-of-RA fee: $20-50 (varies, passed through at cost)
One-time setup fee: $0 (we don't charge to onboard)
What to tell your old RA
Once we're approved by the state, give your old RA written notice:
Subject: Registered Agent service cancellation — [Your LLC Name]To whom it may concern,Please cancel my Registered Agent service for [Your LLC Name], EIN [XX-XXXXXXX]. The Secretary of State of [State] approved a change of Registered Agent on [Date]. The new Registered Agent of record is FormationHub.Please forward any mail received at the old address for the next 60 days to: [FormationHub's address in your state — we provide this in your portal]Thank you, [Your Name]
If they object or try to bill you for the next year, request a refund — they have no service to provide once the state change is filed.
Switching AWAY from FormationHub
We make this easy. Reasons people leave (with no judgment from us):
You want to act as your own RA again (you've decided privacy isn't a concern)
You're switching to a cheaper provider (we may not be the cheapest)
You're dissolving the business
You want everything in one place with a different all-in-one provider
The process (3-7 business days)
Two paths depending on whether you want us to file the change or you want to:
Option A: You file (or your new RA files)
Have your new RA file the state-change form on your behalf.
State approves in 5-7 business days.
Open a chat or email [email protected] once approved. We'll cancel your subscription.
We forward any mail received during the transition period (typically 30 days) to your new address.
Option B: We file on your way out
Open a chat: "I'd like to switch RAs to [new agent name/address]."
We prepare and file the state-change form. State fee passed through at cost.
Once approved, we cancel your subscription on the approval date.
Same mail-forwarding courtesy for 30 days.
Refund policy
Cancel within 30 days of signup or renewal: full refund.
Cancel between 30 days and 6 months: prorated refund (months remaining / 12).
Cancel after 6 months: no refund, but no further billing either.
If we caused a service issue (missed mail, etc.), full refund + apology — open a chat to discuss.
What if I just stop paying?
Don't do this. If you stop paying without filing a state change, your LLC will have an "abandoned" RA on file, which means:
Legal mail piles up at our address with no one able to forward it.
We'll send 3 notices (email + portal banner) over 90 days asking you to resolve.
After 90 days of non-payment + no response, we resign as your Registered Agent by filing a state notice. The state will mark your LLC's status as "RA Resigned" — not good for compliance.
If you don't appoint a new RA within the state's grace period (varies, usually 30 days), the state can administratively dissolve your LLC.
Always file the state change before cancelling.
Special situations
Multiple businesses with the same RA
If you have 3 LLCs all using us as RA, each one needs its own state-change form. Filing fees apply per LLC.
Multi-state businesses
If your business is registered in multiple states (e.g., DE-formed, CA-foreign-qualified), you'll need a Registered Agent in EACH state. We can be your RA in multiple states; each state has its own annual fee.
Disssolving the LLC
You don't strictly need to change RA before dissolving — the dissolution filing takes care of the RA appointment automatically. But it's worth notifying us in advance so we know not to forward additional mail and can prorate any remaining service period.
Common mistakes
❌ Cancelling RA before filing the state change → administrative dissolution risk
❌ Not telling us when you've changed RA elsewhere → we keep billing
❌ Using a friend or family member's home address as your new RA without their explicit consent → awkward when a process server shows up
